These Terms and Conditions ("Terms") constitute a legally binding agreement between you or the entity you represent ("you," "your," or "User") and Flexon Digital ("we," "our," or "us"). These Terms govern your access to and use of https://flexondigital.com, our digital marketing agency services, and our proprietary social media management platform, Flexon Social.

By creating an account, accessing our applications, or connecting social media profiles through our platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

2. Description of Services & Flexon Social

Flexon Digital provides comprehensive digital growth services and develops Flexon Social, a cloud-based social media management platform enabling users to:

• Design Content in Canva: Utilize the integrated Canva creative studio via official Canva APIs to draft visuals, graphics, and video banners, importing completed artwork directly into the Flexon Social publishing pipeline.
• Multi-Channel Publishing & Scheduling: Author, schedule, and distribute content across supported social channels: Meta (Facebook Pages and Instagram Professional accounts), YouTube, LinkedIn, Google My Business, X (formerly Twitter), and Pinterest.
• Unified Social Inbox: Ingest and reply to social comments, public mentions, and direct interactions through an Apple-inspired split-pane collaboration inbox.
• Analytics & Intelligence: Track cross-channel metrics, engagement rates, audience growth curves, and export reporting dossiers.

3. Third-Party Social Platform Terms & Compliance

Flexon Social relies on official developer APIs provided by independent social networks. You agree to comply strictly with the terms of service, community guidelines, and acceptable use policies of each platform you connect:

• Meta Platforms (Facebook & Instagram): You agree to comply with the Meta Terms of Service and Community Standards.
• YouTube & Google: You acknowledge and agree to be bound by the YouTube Terms of Service and the Google Privacy Policy.
• LinkedIn: You agree to comply with the LinkedIn User Agreement and Professional Community Policies.
• Google My Business: You agree to abide by the Guidelines for representing your business on Google.
• X (formerly Twitter): You agree to adhere to the X Terms of Service and the X Developer Agreement.
• Pinterest: You agree to comply with the Pinterest Terms of Service and Community Guidelines.
• Canva: Your use of Canva within our platform is subject to the Canva Terms of Use and Canva Content License Agreement.

4. Account Registration & OAuth Security

When connecting social media profiles to Flexon Social, you authorize our platform to interact with the respective third-party APIs via OAuth 2.0 access tokens.

• Authority: You represent and warrant that you hold all necessary administrative rights, ownership, or authorized agency consent to connect and publish on each connected social account.
• Credential Confidentiality: You are responsible for safeguarding your Flexon Social account login credentials and for all activities that occur under your account.
• Revocation: You may disconnect any channel or revoke tokens at any time through Account Settings or directly through the native social network's security settings.

5. Intellectual Property & Content Ownership

• Your Content: You retain 100% full ownership of all text, photographs, graphics, videos, brand logos, and media you author, design via Canva, or schedule through Flexon Social. You grant Flexon Digital a non-exclusive, worldwide, limited license solely to transmit, format, and publish your content to your designated social channels as directed by you.
• Canva Designs: Assets customized via Canva are subject to Canva's licensing terms. Flexon Digital asserts no intellectual property claims over designs you create in Canva.
• Flexon Digital Platform: The Flexon Social software, user interfaces, branding, software codebases, REST APIs, and algorithms are and remain the exclusive intellectual property of Flexon Digital. You may not copy, reverse engineer, decompile, or create derivative works of our software.

6. Third-Party API Availability & Limitations

Because Flexon Social relies on external social media platform APIs, you acknowledge and agree that:

• Flexon Digital is not liable for service disruptions, publishing delays, or failures caused by third-party API outages, network rate limiting, or platform maintenance.
• Third-party networks may update their API schemas, permissions, or terms at any time. Flexon Digital will make reasonable efforts to adapt our integrations promptly, but cannot guarantee uninterrupted availability of any specific external feature if restricted by the third party.
• If a third-party social network suspends or restricts your native account due to policy violations, Flexon Social cannot bypass those restrictions.

7. Subscription Fees, Invoicing & Refunds

• SaaS Subscriptions: Access to Flexon Social may be provided under tiered subscription plans. Fees are billed in advance on a recurring monthly or annual basis.
• Agency Services: Digital marketing and custom web development engagements are billed according to individual signed proposals or milestone contracts.
• Taxes: All fees are exclusive of applicable taxes (including GST), which will be added at checkout where legally mandated.
• Cancellation: You may cancel your subscription at any time via Account Settings. Access will continue until the end of your current paid billing period.

8. Limitation of Liability & Indemnification

To the maximum extent permitted by applicable law, Flexon Digital and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including lost profits, lost data, brand reputation impact, or business interruption—arising out of or related to your use of Flexon Social or third-party platform actions.

You agree to defend, indemnify, and hold harmless Flexon Digital from and against any claims, damages, liabilities, and expenses arising from any content you publish, any violation of third-party platform terms, or any breach of these Terms.

9. Suspension and Termination

Flexon Digital reserves the right to suspend or terminate your access to Flexon Social immediately, without prior notice, if you breach these Terms, violate third-party social network policies, fail to pay fees, or engage in abusive or illegal activities. Upon termination, all stored OAuth tokens will be revoked and scheduled posts will be cancelled.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, claim, or controversy arising under or relating to these Terms or the use of our services shall be subject to the exclusive jurisdiction of the competent courts located in Azamgarh, Uttar Pradesh, India.
